The investors disputed the premise of the writ petition filed by the individual named Vijayant Mishra, who argued that a takeover of Religare by the Burman family will concentrate the ownership of the company in the hands of a few, which is against the interests of minority shareholders. spoke with multiple investors, who collectively control about a tenth of Religare's total share capital. Separately, Samco’s promoter Modi family owns an 8.19% stake in the company through two holding companies—Chandrakanta and Quick Trading and Investment Advisors LLP. Concentrated shareholding “Today also the shareholding is concentrated with the Burman family. If they make an open offer, minority investors can always say no to selling their shares. If such arguments are made then no takeovers can happen in India," said a senior executive at one of the large institutional investors of Religare, asking not to be named as they are not allowed to speak to the media on matters related to any specific security. “I am disappointed that I was not allowed to vote (at the AGM)," this executive said. The Burman family, the promoters of consumer goods maker Dabur India Ltd, control 25.12% stake in Religare through four holding companies. Also read | “Due to the PIL, the AGM has been delayed. This is not a good thing for shareholders; the share price has also fallen," said Sanjay Kaul, director at FE Securities Pvt Ltd, a Delhi-based brokerage which owns just over 0.02% of the company. Kaul argued that a takeover could be good for the company. “It is good to have a strong promoter. It could be anyone. Today, there is no shareholder director on the company’s board," he said. “It is odd for a high court to pass such an order against Sebi and RBI regulations. The order itself didn't have any compelling logic on why an AGM, that is outlined by the Companies Act, needed to be withheld," said Shriram Subramanian, the managing director of proxy advisory firm InGovern. HC's stay order A division bench of Chief Justice Suresh Kumar Kait and Justice Vivek Jain of the Madhya Pradesh High Court stayed Religare’s AGM till further notice in an interim order passed on 18 December. The AGM was scheduled for 31 December. On the agenda was a resolution seeking Rashmi Saluja's reappointment as a director on the company’s board, which would decide her future at the firm. Two leading proxy advisory firms have asked investors to vote against a fresh term for Saluja, arguing, among other things, that the takeover battle could distract the company’s board. The AGM was originally scheduled for September, but was deferred by three months earlier this year after the company approached the Registrar of Companies seeking a postponement. The deferment was challenged by the Burmans in the Delhi High Court. The takeover battle Religare’s management, led by chairperson Saluja and the Burman family, the company’s largest shareholders, are at loggerheads after the latter made a takeover bid for the company. The Religare board, which initially supported the takeover, has since rejected the open offer citing low valuation and calling the Burman family not fit and proper to run a financial services firm. The Burmans had announced their open offer on 25 September 2023 at 235 per share, which was at a discount to the stock’s previous closing prices of 272.45 back then. The two sides exchanged allegations and filed multiple lawsuits over the past 15 months as the takeover battle turned bitter. RBI, Sebi green light Earlier this month, the Reserve Bank of India (RBI) and the Securities and Exchange Board of India (Sebi) separately gave their nods to the Burman family to make an open offer for acquiring an additional 26% stake in Religare, clearing the path for their takeover of the company. Earlier, the Insurance Regulatory and Development Authority (IRDA), the Competition Commission of India (CCI) and the stock exchanges also approved the open offer. However, in his petition, Mishra argued that if the open offer was allowed to go ahead, it will concentrate the control in the hands of 399 persons, defeating the interests of 73,623 minority investors holding shares worth up to 2 lakh, as per the court’s interim order. Investors expect a third consecutive interest-rate cut at the central bank's December 17-18 meeting. Salesforce jumped 11 per cent and hit an all-time high after the enterprise cloud company beat analyst estimates for third-quarter revenue and raised the lower end of its annual revenue forecast. Other cloud companies also advanced. The S&P 500 technology index hit a record closing high, along with the communication services and consumer discretionary indexes. Also in the tech space, Marvell Technology rallied 23.2 per cent and also hit a record high after the chipmaker forecast fourth-quarter revenue above analyst estimates. An index of semiconductors rose 1.7 per cent, while Nvidia was up 3.5 per cent. The Dow Jones Industrial Average rose 308.91 points, or 0.69 per cent, to 45,014.44, the S&P 500 gained 36.59 points, or 0.60 per cent, to 6,086.47 and the Nasdaq Composite gained 254.21 points, or 1.30 per cent, to 19,735.12. Investors eagerly await monthly US jobs data due on Friday and jobless claims data on Thursday. Earlier Wednesday, US private payrolls data showed a modest increase in November. Separately, a survey from the Institute for Supply Management showed US services sector activity slowed in November after big gains in recent months. The final reading of the S&P services survey was revised lower to 56.1. "Recent economic data has pretty much confirmed the Fed will cut rates in December," said Sam Stovall, chief investment strategist at CFRA Research in New York. Friday's jobs report is "like the granddaddy of employment reports this week," he said. Advancing issues outnumbered decliners by a 1.2-to-1 ratio on the NYSE. There were 367 new highs and 79 new lows on the NYSE. On the Nasdaq, 2,372 stocks rose and 1,930 fell as advancing issues outnumbered decliners by a 1.23-to-1 ratio. NEW YORK — Eager to preserve President-elect Donald Trump's hush money conviction even as he returns to office, prosecutors suggested various ways forward — including one based on how some courts handle criminal cases when defendants die. In court papers made public Tuesday, the Manhattan district attorney's office proposed an array of options for keeping the historic conviction on the books. The proposals include freezing the case until Trump is out of office, or agreeing that any future sentence wouldn't include jail time. Another idea: closing the case with a notation that acknowledges his conviction but says that he was never sentenced and his appeal wasn't resolved because of presidential immunity. The last is adopted from what some states do when a criminal defendant dies after being convicted but before appeals are exhausted. It is unclear whether that option is viable under New York law, but prosecutors suggested that Judge Juan M. Merchan could innovate in what's already a unique case. "This remedy would prevent defendant from being burdened during his presidency by an ongoing criminal proceeding," prosecutors wrote. But at the same time, it wouldn't "precipitously discard" the "meaningful fact that defendant was indicted and found guilty by a jury of his peers." Expanding on a position they laid out last month, prosecutors acknowledged that "presidential immunity requires accommodation during a president's time in office," but they were adamant that the conviction should stand. They argued that Trump's impending return to the White House should not upend a jury's finding. Trump wants the case to be thrown out in light of his election. His communications director, Steven Cheung, called prosecutors' filing "a pathetic attempt to salvage the remains of an unconstitutional and politically motivated hoax." Trump has fought for months to reverse his conviction on 34 counts of falsifying business records. The hush money case was the only one of Trump's four criminal indictments to go to trial. Since the election, special counsel Jack Smith ended his two federal cases, which pertained to Trump's efforts to overturn his 2020 election loss and allegations that he hoarded classified documents at his Mar-a-Lago estate. In court papers made public Tuesday, the Manhattan district attorney's office proposed an array of options for keeping the historic conviction on the books. The proposals include freezing the case until Trump is out of office, or agreeing that any future sentence wouldn't include jail time. Another idea: closing the case with a notation that acknowledges his conviction but says that he was never sentenced and his appeal wasn't resolved because of presidential immunity. With their Breton derby against Stade Rennes heading for another potentially damaging draw, Simon changed the course of the game in the 89th minute with an individual effort – taking on three Rennes players in their red shirts before unleashing a finish into the far corner. The goal made the entire Stade de la Beaujoire vibrate, and Nantes were out of the relegation zone thanks to Moses, whose goal secured their third win of the season – their first win since August 31 away at Montpellier. The Canaries are currently 13th in the Ligue 1 with 14 points in as many games, winning three, drawing five and losing six. When the Nigerian is not scoring, he is also assisting. That has seen him register two goals and one assist in their last six games.
